Acceptance of terms

By accessing our website or engaging Exarth for services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

These terms apply to all visitors, clients, and others who access or use our website and services.

Our services

Exarth provides software engineering, web and mobile development, product design, AI automation, and DevOps & cloud services. The specific scope of any engagement is defined in a separate written proposal or statement of work agreed between you and Exarth.

We reserve the right to refuse service, or to modify or discontinue any service, at our discretion.

Engagements & proposals

Each project is governed by a written proposal that sets out scope, deliverables, milestones, timelines, and fees. In the event of a conflict between these terms and a signed proposal, the proposal prevails for that engagement.

Changes to scope are handled through a documented change request and may affect timeline and cost.

Fees & payment

Fees, payment schedules, and currency are specified in the applicable proposal. Unless stated otherwise, invoices are due within the period noted on the invoice.

Late payments may result in suspension of work until the balance is settled. Quoted fees exclude any applicable taxes unless explicitly stated.

Intellectual property

Upon full payment, ownership of the custom deliverables created specifically for your project transfers to you, as set out in the proposal. Exarth retains ownership of pre-existing tools, frameworks, libraries, and general know-how used to deliver the work.

Third-party and open-source components remain subject to their respective licences.

Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement and to use it only for the purpose of delivering the agreed services. This obligation survives the termination of any engagement.

Warranties & disclaimers

We deliver our services with reasonable skill and care. However, except as expressly stated in a signed proposal, our website and services are provided “as is” without warranties of any kind, whether express or implied.

We do not warrant that the website or services will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, Exarth will not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill, arising from your use of our website or services.

Our total aggregate liability for any engagement will not exceed the fees paid to us for that engagement.

Termination

Either party may terminate an engagement in accordance with the notice provisions set out in the applicable proposal. On termination, you agree to pay for all work performed up to the termination date.

Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located there, unless otherwise agreed in writing.

Changes to these terms

We may update these Terms & Conditions from time to time. The updated version will be indicated by a revised “Last updated” date and will be effective as soon as it is published. Your continued use of our website or services constitutes acceptance of the changes.
